Purpose
The Conflict of Interest Policy of the Chinese American Legal Defense Alliance (CALDA) is designed to protect the integrity of our decision-making process, ensure that decisions are made in the best interest of the organization, and maintain the trust of our stakeholders.
Scope
This policy applies to all board members, officers, employees, and significant volunteers of CALDA.
Definition of Conflict of Interest
A conflict of interest occurs when an individual’s personal, financial, or professional interests may influence or appear to influence their judgment in conducting CALDA’s business. Examples include, but are not limited to, situations where a board member or employee may benefit personally from a decision made by CALDA.
Disclosure Requirements
All individuals covered by this policy must disclose any potential conflicts of interest to the board as soon as they arise and before any related discussions or decisions take place.
Procedure for Addressing Conflicts
When a conflict of interest is identified, the individual involved must recuse themselves from any discussion or decision-making process related to the conflict. The board will review the conflict and determine the appropriate course of action.
Annual Acknowledgment
All board members, officers, and key employees are required to review this policy annually and disclose any potential conflicts in writing.
